Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form an agreement between you and Agni Intelligence ("Agni", "we", "us") governing your access to and use of our websites, the Sapion platform, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and for your users' compliance with these Terms. You must be at least the age of majority in your jurisdiction to use the Services.

3. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms. You may not misuse the Services, interfere with their operation, attempt to access them by unauthorized means, or use them to violate law or the rights of others.

4. Subscriptions, credits & billing

Paid plans are billed in advance on a monthly or annual basis through our payment processor. Usage is metered in Sapion Credits as described on our pricing page. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable notice. Failure to pay may result in suspension or downgrade of the Services. Taxes may apply and are your responsibility unless stated otherwise.

5. Intellectual property

The Services, including all software, models, and content we provide, are owned by Agni and its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. All rights not expressly granted are reserved.

6. Customer data & outputs

You retain ownership of the data you submit ("Customer Data") and of the outputs generated for you, subject to these Terms and applicable law. You grant us the rights necessary to process Customer Data to provide and secure the Services. Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring you have the rights to submit Customer Data and for verifying outputs before relying on them.

7. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI systems can produce inaccurate or incomplete outputs; you are responsible for human review where outcomes matter.

8. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our aggregate liability arising out of or relating to the Services is limited to the amounts you paid us in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you.

9. Termination

You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, or to comply with law. On termination, your right to use the Services ends; certain provisions survive, including those on intellectual property, disclaimers, and liability.

10. Governing law

These Terms are governed by the laws of the jurisdiction of Agni's registered place of business [insert jurisdiction], without regard to conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer protections available to you locally.

11. Changes to these Terms
